March 9, 2009 : Solitaire Minerals Corp. (TSX-V: SLT) announces that at its extraordinary general meeting held on February 27, 2009 (the "Meeting"), shareholders approved, by special resolution, a consolidation of the Company's common shares on the basis of one (1) post-consolidated share for every five (5) pre-consolidated shares (the "Consolidation"). As of the Meeting, the Company had 114,854,750 issued and outstanding common shares. Following the Consolidation, the Company will have approximately 22,970,950 shares outstanding. No fractional shares will be issued, but will instead be rounded as provided for in the Business Corporations Act (British Columbia).
The TSX Venture Exchange has approved the Consolidation and commencing March 10, 2009, the Company's common shares will trade on a post-consolidation basis. The Company's trading symbol will remain as SLT. Shareholders will receive a letter of transmittal from Computershare Investor Services Inc., the Company's transfer agent, with instructions for exchanging their pre-consolidation shares.
The Company also announces that it is repricing certain stock options granted to insiders as described in its information circular for the Meeting available at www.sedar.com, and as approved by disinterested shareholders at the Meeting, as required by Exchange policies. The re-pricing will take place immediately following the Consolidation and therefore be priced on a post-consolidated basis, such that all option exercises are re-priced to $0.14.
